EOL_ONE Terms of Service

These Terms of Service ("Terms") govern access to and use of EOL_ONE, a cloud-based Software as a Service (SaaS) platform owned and operated by Kaffeina Group Pty Ltd ("Kaffeina", "we", "our" or "us").
EOL_ONE is the proprietary Equipment on Loan (EOL) software platform developed, owned, licensed and operated exclusively by Kaffeina Group Pty Ltd.
These Terms explain the rights and obligations of Kaffeina as the owner and operator of EOL_ONE, and the rights and obligations of Customers and Authorised Users who access and use the platform.
By registering for an account, accepting these Terms, or accessing or using EOL_ONE, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company, partnership, trust, government body or other legal entity ("Customer"), you represent that you have authority to bind that Customer to these Terms. References to "you" include both the individual user and the Customer you represent.
1. Definitions
Unless the context otherwise requires:
Account means an account created to access EOL_ONE.
Agreement means these Terms of Service.
Authorised User means an employee, contractor or other person authorised by the Customer to use EOL_ONE.
Business Day means a day other than a Saturday, Sunday or public holiday in Victoria, Australia.
Customer means the organisation authorised by Kaffeina to access and use EOL_ONE.
Customer Data means all information, records, documents, files, images, electronic records, agreements and other data uploaded to, entered into, stored within or generated through EOL_ONE by or on behalf of the Customer.
EOL_ONE means the proprietary cloud-based Equipment on Loan Software as a Service platform owned and operated by Kaffeina.
Intellectual Property Rights means all present and future copyright, patents, trademarks, designs, trade secrets, know-how, database rights, software rights and other intellectual property rights anywhere in the world.
Services means access to EOL_ONE together with hosting, maintenance, updates, backups, support and associated online services provided by Kaffeina.
2. Access to the Services
Subject to these Terms, Kaffeina grants the Customer a limited, non-exclusive, non-transferable and revocable licence to access and use EOL_ONE solely for its own internal business purposes.
The Services are provided as a cloud-based software platform and may evolve over time through updates, enhancements and new functionality.
Access to EOL_ONE does not transfer ownership of the software or any Intellectual Property Rights.
3. Authorised Users
The Customer may authorise employees, contractors and other personnel to access EOL_ONE.
The Customer is responsible for managing user access, ensuring all users comply with these Terms, maintaining secure passwords, and removing access for users who no longer require it.
The Customer remains responsible for all activity performed under its Account.
4. Customer Obligations
You agree that you will use EOL_ONE only for lawful business purposes, comply with all applicable laws and regulations, ensure Customer Data is accurate to the best of your knowledge, maintain suitable internet access and compatible devices, promptly notify Kaffeina of any suspected unauthorised access or security incident, and obtain all necessary rights and permissions for Customer Data entered into EOL_ONE.
You are solely responsible for determining whether EOL_ONE is suitable for your business requirements.
5. Account Security
You must ensure that usernames and passwords remain confidential.
You must not share login credentials, allow multiple individuals to use the same Account, or attempt to circumvent authentication or security controls.
You must immediately notify Kaffeina if you believe your Account has been compromised.
6. Acceptable Use
You must not access data belonging to another Customer, interfere with or disrupt the Services, upload malicious software, attempt to reverse engineer, decompile or disassemble EOL_ONE, copy or reproduce any part of the software except as permitted by law, use automated tools to scrape or extract data, attempt to bypass security controls, use EOL_ONE for any unlawful purpose, or use EOL_ONE to develop or support competing software.
Kaffeina may investigate suspected misuse and take appropriate action.
7. Fees
Access to EOL_ONE may be provided on either a paid or complimentary basis.
Subscription fees, implementation services, support arrangements and any other commercial terms are negotiated separately between Kaffeina and the Customer.
Unless otherwise agreed, invoices are payable within the period specified on the invoice, all fees are exclusive of GST, and Kaffeina may suspend access where undisputed invoices remain unpaid after reasonable notice.
8. Support
Kaffeina will provide commercially reasonable technical support for EOL_ONE.
Support requests should first be investigated by the Customer before being reported.
Support does not include business consulting, legal advice, data entry, configuration of third-party systems, or custom development unless separately agreed.
9. Availability
Kaffeina aims to maintain reliable access to EOL_ONE.
However, availability may be affected by scheduled maintenance, emergency maintenance, internet outages, cloud hosting providers, telecommunications failures, cyber security incidents, and events beyond Kaffeina's reasonable control.
Kaffeina does not warrant uninterrupted availability.
10. Customer Data
The Customer retains ownership of all Customer Data.
By using EOL_ONE, the Customer grants Kaffeina permission to host, process, store, transmit, back up and otherwise use Customer Data solely for the purpose of providing the Services, maintaining platform security, providing customer support, complying with legal obligations, and improving system reliability and performance.
Kaffeina does not claim ownership of Customer Data.
11. Privacy
Kaffeina handles personal information in accordance with applicable Australian privacy legislation and its Privacy Policy.
The Customer is responsible for ensuring that any personal information entered into EOL_ONE has been lawfully collected and may be processed using cloud-based systems.
12. Documents Generated by EOL_ONE
EOL_ONE may generate Equipment on Loan Agreements, commercial agreements, inspection reports, asset records, audit reports, PDF documents, notices, schedules, emails, and operational reports.
The Customer is solely responsible for reviewing all generated documents before relying upon, distributing or signing them.
EOL_ONE does not provide legal, accounting or professional advice.
13. Backups
Kaffeina performs routine operational backups of production systems.
Although reasonable measures are taken to protect Customer Data, restoration of deleted or historical data cannot be guaranteed.
Customers should retain copies of critical business records where appropriate.
14. Confidentiality
Each party agrees to keep confidential all confidential information obtained through the Services.
Confidential information may only be disclosed where required by law, with written consent, to professional advisers, or to employees or contractors who require access and are subject to confidentiality obligations.
These obligations survive termination.
15. Intellectual Property
EOL_ONE is proprietary software owned exclusively by Kaffeina Group Pty Ltd.
All Intellectual Property Rights relating to EOL_ONE, including its software, databases, workflows, designs, user interfaces, documentation, reports, APIs, branding, logos, trademarks and source code remain the exclusive property of Kaffeina or its licensors.
Nothing in these Terms transfers ownership of any Intellectual Property Rights to the Customer or any Authorised User.
Except for Customer Data, all rights are reserved by Kaffeina.
16. Warranties
Kaffeina warrants that it has the right to provide the Services.
Except as expressly stated in these Terms, EOL_ONE is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Kaffeina excludes all warranties, conditions and representations not expressly stated in these Terms.
17. Limitation of Liability
To the maximum extent permitted by law, Kaffeina will not be liable for any indirect, incidental, special, consequential or punitive loss, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings, business interruption, or corruption or loss of Customer Data.
Kaffeina's total aggregate liability arising out of or relating to the Services is limited to the greater of the fees paid by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim, or AUD $100 where no fees have been paid.
Nothing in these Terms excludes any rights that cannot lawfully be excluded under Australian law.
18. Indemnity
The Customer indemnifies Kaffeina against claims, losses, liabilities and reasonable costs arising from Customer Data, unlawful use of EOL_ONE, breach of these Terms, or infringement of third-party rights caused by Customer Data.
19. Suspension and Termination
Kaffeina may suspend or terminate access where reasonably necessary to protect platform security, investigate suspected misuse, comply with legal obligations, protect other Customers, or address unpaid undisputed invoices.
Upon termination, access to EOL_ONE immediately ends, licences granted under these Terms cease, and Customer Data may be made available for export for a reasonable period before deletion, unless otherwise required by law.
20. Changes to the Services
Kaffeina may modify, enhance, replace or discontinue features of EOL_ONE from time to time.
Where practical, Kaffeina will provide reasonable notice of material changes that significantly affect the Services.
21. Changes to these Terms
Kaffeina may amend these Terms from time to time.
The latest version will always be made available through the EOL_ONE website or application.
Continued use of EOL_ONE after updated Terms become effective constitutes acceptance of the revised Terms.
22. Force Majeure
Neither party is liable for any delay or failure to perform its obligations, other than payment obligations, where caused by events beyond its reasonable control, including natural disasters, acts of government, cyber incidents, telecommunications failures or widespread internet outages.
23. General
These Terms constitute the entire agreement relating to access to EOL_ONE and supersede any previous discussions or understandings relating to the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
The Customer may not assign its rights or obligations without Kaffeina's prior written consent.
Failure by Kaffeina to enforce any right does not constitute a waiver of that right.
24. Governing Law
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia.

By logging in to, accessing, or otherwise using EOL_ONE, you acknowledge that you have read, understood and agree to be legally bound by these Terms of Service.
If you do not agree to these Terms, you must not access or use EOL_ONE.
